1. Acceptance of Terms

• By using the Website, you confirm that you are at least 18 years old. The Platform is not intended for anyone under 18, and accounts may not be created for minors.
• Creating an account requires you to accept these Terms and our Privacy Policy. Hosts creating paid leagues or tournaments may also be required to acknowledge host payment responsibilities before continuing.
• These Terms, along with our Privacy Policy and any other legal notices we publish, form the agreement between you and Find Flag Football concerning your use of the Website.

2. Nature of the Platform

Find Flag Football provides software for discovering, listing, organizing, registering for, and promoting flag football pickup games, leagues, tournaments, organizations, and teams. The Platform may also support rostering, scheduling tools, posts or news, media uploads, email notifications, maps and location search, and payment infrastructure for paid registrations.

We do not organize, staff, supervise, or control the physical events listed on the Platform, and we do not guarantee the safety, facilities, qualifications, attendance, or outcomes of any event.

• Hosts / Organizers: Users who create and manage events, organizations, or related listings.
• Participants: Users who browse, join, register for, or otherwise participate in events or teams.
• Team Managers: Users who create or manage teams and related roster registrations.

3. No Agency or Employment Relationship

Your use of this Website does not create any partnership, joint venture, employment, or agency relationship between you and us. We do not endorse, certify, or guarantee the actions, safety procedures, facilities, or qualifications of any Host, Participant, Organization, or Team.

4. Accounts and User Responsibilities

• You are responsible for maintaining the confidentiality of your account credentials and for activity that occurs under your account.
• You are solely responsible for your actions and interactions with other users, whether online or in person.
• You will conduct yourself safely and respectfully at all events and on the Platform.
• You will provide accurate information and will not use the Platform for unlawful, fraudulent, abusive, or harmful purposes.
• If you are a host collecting payments, you are the merchant of record for those registration sales to participants. You are responsible for event operations, registration management, refund decisions, tax and legal compliance applicable to your activities, and keeping your Stripe Connect account in good standing. Find Flag Football provides software and payment infrastructure and collects platform application fees as described in Section 9.

5. Assumption of Risk

By attending or participating in any event listed on Find Flag Football, you voluntarily assume all risks associated with such participation, including but not limited to personal injury, illness (including COVID-19 or other communicable diseases), permanent disability, death, or property damage. You acknowledge that participation in physical activities, including flag football, inherently involves known and unknown risks, and you hereby assume all such risks, both foreseeable and unforeseeable.

6. Waiver and Release of Liability

To the maximum extent permitted by law, you release and hold harmless Find Flag Football and its owner, affiliates, licensors, contractors, and agents from any and all liability, claims, demands, damages, losses, or expenses (including legal fees) arising out of or in connection with:

• Your attendance at or participation in any event listed on the Website;
• The conduct of any user or third party at such event;
• Any physical or emotional injury, illness, death, or damage to personal property resulting from such attendance or participation.

Hosts may also require participants to review and accept a separate host-provided waiver document through the Platform. Any such host waiver is between the host and the participant. Find Flag Football is not a party to host-provided waivers and does not verify their legal sufficiency.

7. No Warranty or Endorsement

Find Flag Football does not verify or guarantee the quality, legality, safety, or suitability of any event or user. The presence of an event on our Platform does not constitute endorsement or certification by us. We do not warrant that the Website will be uninterrupted or error-free, nor do we make any guarantees regarding event attendance, quality, or outcome. The Platform is provided on an "as is" and "as available" basis to the fullest extent permitted by law.

8. Indemnification

You agree to indemnify and hold harmless Find Flag Football and its owner, affiliates, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses, including legal and accounting fees, arising from your use of the Website, your content, your participation in any event, your payment or hosting activities, or your violation of these Terms.

9. Payments, Fees, and Refunds

Payment Processing: Payments for league and tournament registrations are processed through Stripe Checkout as Direct Charges on the event host's Stripe Connect account. By making a payment, you agree to Stripe's terms and policies, including those applicable to your transaction (for example, Stripe's Legal pages and consumer terms as presented at checkout). The host is the merchant of record for the registration sale. Registration funds settle to the host under Stripe's payout schedule; the Platform does not hold registration proceeds as a bank or escrow. Pickup events do not use paid checkout.

Host Payment Collection and Responsibility: Hosts who collect payments must set up a Stripe Connect account and complete the required onboarding process. Hosts are responsible for setting prices, managing registrations, deciding whether to grant refunds, communicating with participants about payment issues, and complying with applicable tax and legal requirements. Hosts must maintain their Stripe Connect account in good standing.

Platform Pricing Model: Find Flag Football does not require a hosting subscription plan. Instead, for paid registrations processed through Platform checkout, Find Flag Football collects an application fee that includes a platform take rate equal to 3% of the registration amount, plus an estimate of Stripe card-processing fees. Under our Stripe Connect configuration, Stripe bills processing fees to Find Flag Football. Individual events may use a different platform take rate at Find Flag Football's discretion. Hosts and participants acknowledge that fee-enabled registrations must be completed in-platform for roster and payment records to remain accurate.

Referee Game Payments: When a host enables per-game referee pay, eligible payers may settle that rate through Platform checkout as a Direct Charge to the referee's Stripe Connect account. The referee receives the host-set rate. The payer is charged that rate plus Stripe card-processing fees (currently estimated at 2.9% + $0.30) and a separate platform take rate equal to 1% of the referee rate—lower than the registration platform take because these payments settle an officiating rate rather than event registration revenue. Find Flag Football may change the referee platform take rate at its discretion. Individual events may use a different referee platform take rate at Find Flag Football's discretion (ops override). Fee-enabled referee payments must be completed in-platform so assignment and payment records remain accurate.

League Team Player Dues: When a league team manager sets optional per-player team dues (separate from host registration fees), rostered players may pay those dues through Platform checkout as a Direct Charge to the team manager's Stripe Connect account. The manager receives the set dues amount. The player is charged that amount plus Stripe card-processing fees (currently estimated at 2.9% + $0.30) and a separate platform take rate equal to 1% of the dues amount—lower than the registration platform take because these payments settle team-manager dues rather than event registration revenue. Find Flag Football may change the team-dues platform take rate at its discretion. Individual leagues may use a different team-dues platform take rate at Find Flag Football's discretion (ops override). Managers may also mark dues paid offline outside Checkout; offline marks do not create a Platform charge or platform take. Online dues payments must be completed in-platform so roster and payment records remain accurate. Automatic full refunds of succeeded Stripe dues payments (for example when a player leaves the league or is removed from the team) follow the same application-fee treatment as other full Platform refunds: Find Flag Football forgoes its platform take portion, and unreturned Stripe processing costs are absorbed as described for full refunds elsewhere in these Terms.

Chargebacks and Negative Balances: Participants and hosts should first attempt to resolve payment issues through the Platform's refund-request process and with the host. Card-network disputes and chargebacks are handled through Stripe. Under our Stripe Connect configuration, Find Flag Football may bear certain negative balance exposure associated with disputes or chargebacks. On standard full refunds issued through the Platform, the host absorbs Stripe's unreturned processing fee on the original charge, and Find Flag Football forgoes its platform take. This does not make Find Flag Football the merchant of record for the host's registration sale, and it does not eliminate the host's operational responsibility for refund decisions, accurate event information, or cooperation in dispute resolution.

Off-Platform Circumvention Prohibited: For paid events discovered or managed on the Platform, hosts and organizers may not solicit or require participants to pay outside the Platform (including Venmo, Cash App, Zelle, PayPal, or direct transfer) to avoid platform or processor fees. Limited complimentary or free registrations are permitted for legitimate reasons, but abuse may result in account review, feature limits, suspension, or removal.

Refund Policy: Whether to grant a refund is decided solely by the event host, except where the Platform automatically attempts refunds as part of deleting a paid event or correcting a failed registration. Find Flag Football does not guarantee refunds and is not a party to ordinary payment disagreements between hosts and participants. If you wish to request a refund, follow the refund-request process in the Platform; the host may fulfill an approved request by removing the paid registration through the Platform, which initiates refund processing through Stripe. For a standard full refund of a registration payment, the amount returned to the payer is ordinarily the full registration amount charged (subject to banks and card networks for timing). On a standard full refund issued through the Platform, Find Flag Football forgoes its platform take (returning that portion of the application fee to the host's Stripe balance). Stripe's processing fees on the original charge are typically not returned by Stripe; the host absorbs that cost. Refunds must be issued through the Platform so roster and payment records stay in sync—do not refund registration payments directly in Stripe.

Event Deletion: If a host deletes a paid league or tournament, the Platform attempts to issue full refunds for outstanding paid registrations before removing the event. If a refund cannot be completed, deletion may be blocked until the issue is resolved.

10. User-Generated Content and License

You are solely responsible for any content you post or submit on the Platform, including event listings, descriptions, organization or team materials, posts or news, gallery images and videos, other media uploads, and communications with us. You must not post anything illegal, harmful, offensive, defamatory, infringing, or misleading.

Galleries, news media, and host uploads: Event and organization galleries, news posts with attachments, and related media uploads are intended for hosts (and Platform administrators) of the relevant page. If you upload photos, videos, or other media, you represent and warrant that: (a) you own the content or have all rights and licenses needed to upload and display it on the Platform; (b) the content does not infringe any copyright, trademark, privacy, publicity, or other right of any person; and (c) you have obtained any required consent from identifiable people shown in the media—including parents or legal guardians for minors—before uploading. You are solely responsible for likeness, publicity, and permission issues arising from media you upload.

Gallery and news media you publish may be publicly visible on event or organization pages. Do not upload content you do not want to be publicly available.

You retain ownership of your content. By submitting content to the Platform, you grant Find Flag Football a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and distribute that content as needed to operate, promote, and improve the Platform. We reserve the right, but are not obligated, to remove content that violates these Terms or creates risk for users or the Platform. We do not undertake to proactively monitor all user content. 11. Copyright Complaints (DMCA)

Find Flag Football respects intellectual property rights and expects users to do the same. If you believe content on the Platform infringes your copyright, you may send a written takedown notice to our designated copyright contact at support@findflagfootball.com with the subject line "DMCA Notice." Your notice should include, to the extent applicable: (1) a physical or electronic signature of the copyright owner or authorized agent; (2) identification of the copyrighted work claimed to have been infringed; (3) identification of the material that is claimed to be infringing and information reasonably sufficient to permit us to locate it (for example, the page URL); (4) your contact information (name, address, telephone number, and email); (5) a statement that you have a good-faith belief that use of the material is not authorized by the copyright owner, its agent, or the law; and (6) a statement that the information in the notice is accurate, and under penalty of perjury, that you are authorized to act on behalf of the copyright owner.

Upon receiving a compliant notice, we may remove or disable access to the material and, where appropriate, notify the user who posted it. If your content was removed and you believe the removal was mistaken, you may send a counter-notice to the same email address with information sufficient for us to identify the removed material and your contact details, plus a statement under penalty of perjury that you have a good-faith belief the material was removed by mistake or misidentification, and that you consent to the jurisdiction of the federal district court for your address (or for South Carolina if outside the United States) and will accept service of process from the complainant. We may restore the material unless the copyright claimant seeks a court order within the time required by applicable law.

Repeat infringers may have their accounts suspended or terminated. This section is intended to help us respond to copyright complaints; it does not create any obligation beyond what applicable law requires. For a formal DMCA designated-agent registration with the U.S. Copyright Office, contact us if you need our current agent details.

12. Email Notifications

The Platform may send transactional and service emails, such as account verification, password reset, registration notices, and event updates for subscriptions or notification preferences you enable. You can manage many notification preferences in your account settings. These service emails are not a paid subscription product and are separate from any hosting or registration fees.

13. Suspension, Termination, and Account Deletion

We may suspend or terminate access to the Platform, remove content, or limit features if we reasonably believe you violated these Terms, created risk for other users, abused payment flows, or otherwise misused the Platform. You may delete your account through the Platform, subject to requirements such as closing an active Stripe Connect account first. Deleting your account may also delete events or organizations you host because of related data relationships. Sections that by their nature should survive termination will survive, including ownership, payment obligations already incurred, disclaimers, indemnity, and limitation of liability.

14. Limitation of Liability

To the maximum extent permitted by law, Find Flag Football and its owner, affiliates, contractors, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, goodwill, or business opportunities, arising out of or related to your use of the Platform or participation in any event. To the maximum extent permitted by law, our aggregate liability for claims relating to the Platform will not exceed the greater of (a) the amounts you paid to Find Flag Football in platform fees during the three months before the claim arose, or (b) one hundred dollars (US $100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

15. Modifications to the Terms

We reserve the right to revise these Terms at any time. We will update the "Last Updated" date when we do so and may provide additional notice for material changes. Continued use of the Website after changes become effective constitutes your acceptance of the updated Terms, except where applicable law requires a different process.

16. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of South Carolina, without regard to its conflict of law provisions. Except where prohibited by applicable law, any dispute arising under or in connection with these Terms shall be resolved in the state or federal courts located in South Carolina, and you consent to personal jurisdiction there.

17. Severability

If any part of these Terms is found to be unlawful or unenforceable, the remainder will remain in full force and effect.
